About

Professor Sergio Alberto Gramitto Ricci specializes in corporate law, with emphasis on corporate governance, corporate theory, and legal personhood. Professor Gramitto Ricci’s main strand of research investigates how models of share ownership and the corporate governance infrastructure determine the ability of average citizens to participate in the corporate sector. His work in this field has been trailblazing: not just examining structures but exploring different pathways to increase the participation of regular citizens in corporations’ decisions and profits. He has been investigating private ordering solutions as well as the opportunities arising from the fintech-driven resurgence of retail investors as a market game-changer.

Professor Gramitto Ricci has published in the United States and internationally. His scholarship on retail investors and corporate governance appears in several law journals such as the Boston University Law Review and the Washington University Law Review. His standard-bearer article on the use of artificial intelligence in corporate boardrooms appears in Cornell Law Review. His investigations on the origins and nature of corporations trace back to the research he conducted for his Ph.D. and appears in US law journals, including the Berle issue of the Seattle University Law Review.

Professor Gramitto Ricci also co-authored the book Citizen Capitalism: How a Universal Fund Can Provide Influence and Income to All. The book sheds light on the necessity to bridge the gap between civic society and the corporate sector and suggests a blueprint to include virtually everyone in corporate governance. Professor Gramitto Ricci advances the public understanding of the law with media appearances, presentations at high-profile academic events, and contributions to prominent blogs in his field and edited volumes.

Prior to joining UMKC School of Law, Professor Gramitto Ricci was the Law and Business Entrepreneurship Jacobson Fellow at NYU School of Law. He also held a tenure-track position at Monash University, in Australia, where he taught corporate governance and Australian corporate law, as well as visiting professorships at Hofstra School of Law and Cornell Law School, where he taught business organizations and other corporate law courses.
